1. Definitions

• Orbistra / We / Us / Our — Orbistra, registered in Malaysia, Suite 9-4, Jalan Bukit Bintang, 55100 Kuala Lumpur.
• You / Participant / User — the individual using this website or enrolled in a programme.
• Programme — any of Orbistra's three management learning offerings: Negotiation Practice Short Course, Strategy and Planning Programme, or Institutional Faculty Development Engagement.
• Engagement — a twelve-month Institutional Faculty Development contract with an organisation.
• Materials — course content, exercises, case studies, templates, assessment rubrics and recorded sessions provided as part of a programme.
• Agreement — the contract formed between Orbistra and a participant or organisation upon confirmed enrolment.

2. Acceptance of terms

By submitting an enquiry, completing an enrolment form or making a payment, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these terms in full. For organisations entering the Institutional Faculty Development Engagement, the individual signing confirms they have authority to bind the organisation.

3. Service description

Orbistra provides management learning through three programmes at different depths:

• Negotiation Practice Short Course — three weeks, sixteen contact hours, RM 630 per participant, cohort max 16.
• Strategy and Planning Programme — twenty weeks part-time, 110 contact hours, RM 3,400 per participant.
• Institutional Faculty Development Engagement — twelve months, RM 4,700 per engagement.

Programmes do not issue accredited qualifications. Orbistra issues a completion record only. Delivery is based in the Klang Valley, Malaysia. The Institutional Engagement includes online sessions between in-person visits.

4. Enrolment and confirmation

Enrolment is confirmed upon receipt of payment in full. Orbistra reserves the right to decline an enrolment where entry expectations are not met, and will refund any payment made in full in that case. Cohort places are allocated in order of payment receipt.

5. Fees and payment

• All fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise stated.
• Payment is due in full before the programme start date unless a written instalment arrangement has been agreed.
• Accepted payment methods are stated in the enrolment confirmation email.
• Invoices are issued for all payments. Receipts are available on request.

6. Cancellation and refund policy

• Cancellation more than 14 days before programme start: full refund less any payment processing fee.
• Cancellation 8–14 days before start: 50% refund.
• Cancellation 7 days or fewer before start: no refund. Transfer to a future cohort may be possible; contact us to discuss.
• Institutional Engagement cancellation: terms are stated in the individual engagement contract.
• If Orbistra cancels a cohort, participants receive a full refund or, at their preference, transfer to the next available cohort.

7. Participant responsibilities

• Participants must attend sessions punctually. Absence beyond the level stated in programme materials may affect assessment eligibility.
• Participants must not share, reproduce or distribute Materials outside the programme without written permission.
• Participants must not misrepresent themselves in exercises or submissions.
• Disruptive conduct that materially affects other participants' experience may result in removal without refund.

8. Intellectual property

All Materials remain the intellectual property of Orbistra unless otherwise stated in writing. Participants receive a non-exclusive, non-transferable licence to use Materials for their own professional development. Organisations in the Institutional Engagement receive internal usage rights as specified in the engagement contract — not unlimited commercial rights.

9. Scope limitations

Orbistra programmes cover the specific subject areas stated in each programme description. They do not constitute legal, financial, tax, accounting, medical or regulatory advice. Participants requiring advice in those areas should engage appropriately qualified professionals. For the Institutional Faculty Development Engagement, accreditation submissions, financial planning, taxation and legal matters are explicitly outside scope.

10. Disclaimers

Programmes are delivered in good faith based on practitioner knowledge and materials current at the time of delivery. Orbistra does not warrant that participation will result in specific professional outcomes. Results depend on application of learning in the participant's own context, which Orbistra cannot control.

11. Limitation of liability

To the extent permitted by Malaysian law, Orbistra's total liability to any participant or organisation shall not exceed the fee paid for the relevant programme. Orbistra is not liable for indirect, consequential or special damages. Nothing in these terms excludes liability for fraud or for death or personal injury caused by negligence.

12. Indemnification

You agree to indemnify Orbistra against claims arising from your breach of these terms, your misuse of Materials or your conduct during programme delivery.

13. Termination

Either party may terminate an enrolment agreement by written notice. Refund eligibility on termination follows the cancellation policy in clause 6. Orbistra may terminate without refund where a participant has materially breached these terms.

14. Governing law and dispute resolution

These terms are governed by the laws of Malaysia. Disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia. Before formal proceedings, both parties agree to attempt informal resolution by written communication to [email protected] within 30 days of the dispute arising.

15. General provisions

• Entire agreement: These terms, together with any enrolment confirmation and engagement contract, constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it subsequently.
• Assignment: You may not assign your enrolment without Orbistra's written consent. Orbistra may assign obligations to a successor entity operating the same programmes.

16. Changes to these terms

Orbistra may update these terms. The "Last Updated" date will reflect changes. Material changes affecting current enrolments will be communicated by email. Continued enrolment or use of this website after a change constitutes acceptance of the updated terms.
